Consultant shall provide AI strategy consulting, model evaluation, implementation guidance, and technical architecture review for Client's customer engagement platform. Deliverables include:

The engagement shall commence on the Effective Date and conclude within 10 weeks of project kickoff. Weekly status updates shall be provided every Friday. Any delay caused by Client's failure to provide required materials or access shall extend the timeline proportionally.
This agreement includes 3 rounds of revisions per deliverable. Additional revision rounds shall be billed at $250/hour. Any material scope change requires a written Change Order signed by both parties, with associated fee adjustments.
Client shall own all deliverables, reports, and custom materials produced under this agreement upon full payment. Consultant retains ownership of pre-existing methodologies, frameworks, and tools used in the engagement. Consultant grants Client a perpetual, non-exclusive license to use such tools within the scope of the delivered project.
Consultant's total aggregate liability under this agreement shall not exceed 1x the total contract value ($75,000). Neither party shall be liable for indirect, consequential, or punitive damages. Each party shall indemnify the other against third-party claims arising from their breach of this agreement.
Both parties agree to maintain strict confidentiality of all proprietary information shared during the engagement. This obligation survives termination by 24 months.
Either party may terminate with 14 days written notice. Upon termination, Client shall pay for all work completed through the termination date. Consultant shall deliver all work-in-progress materials within 5 business days of termination.
